Acceptance of Terms
By using the Site/Services, you represent that you are at least 18 and have authority to bind the organization you represent. If you do not agree to these Terms, do not use the Site/Services.
Services & Statements of Work
- Service details, deliverables, fees, timelines, and assumptions will be set out in a written proposal, order, or statement of work (“SOW”).
- If there is a conflict, the SOW prevails over these Terms for that engagement.
- We may recommend third‑party tools (e.g., analytics, search console, rank trackers). Your use of those tools is subject to their terms.
Accounts & Access
- You may need to provide or authorize access to your analytics, search console, CMS, or hosting to deliver the Services.
- You’re responsible for safeguarding credentials and ensuring we have the necessary permissions for the agreed work.
- You must keep your account and contact information accurate and up to date.
Client Responsibilities
- Provide timely information, approvals, and assets (e.g., content, brand guidelines, product data).
- Ensure you have rights to all materials you supply and that they comply with law and platform policies.
- Implement recommended changes where you control the systems (or provide access so we can implement, as agreed).
Fees & Payment
- Fees are as stated in the SOW or invoice. Unless stated otherwise, invoices are due upon receipt and payable within 14 days.
- Late payments may incur suspension of work and/or a reasonable late fee or interest as permitted by law. You are responsible for taxes (excluding our income taxes).
- Deposits and prepaid retainers are applied to Services and are non‑refundable once work has begun. Fees for completed or in‑progress milestones are non‑refundable.
Changes & Out‑of‑Scope
- Requests outside the SOW, or material changes to assumptions, timelines, or deliverables, may require a change order and additional fees.
- If third‑party or platform changes materially impact the plan, we’ll propose a reasonable adjustment.
Intellectual Property
- Your materials remain yours. You grant us a limited license to use them to deliver the Services.
- Upon full payment, you own the custom deliverables created specifically for you under the SOW (e.g., audits, reports, on‑page copy), excluding:
- Our pre‑existing IP, methodologies, templates, software, and know‑how; and
- Third‑party materials, which remain subject to their own licenses.
- We grant you a non‑exclusive, worldwide, perpetual license to use our pre‑existing IP only as embedded in the deliverables, for your internal business use.
Portfolio & Attribution
Unless you notify us in writing, you grant permission to reference your name/logo and high‑level results in our portfolio, credentials, and case studies. We will not disclose confidential information.
Acceptable Use
You agree not to use the Site/Services to:
- Violate laws or third‑party rights;
- Engage in spam, deceptive or manipulative practices, or unsafe link schemes;
- Introduce malware or interfere with Site/Service operations.
We follow major search engine guidelines; we will not implement tactics that we believe risk penalties.
Confidentiality & Data Protection
- Each party will keep the other’s non‑public information confidential and use it only to perform these Terms/SOW.
- We process personal data per our Privacy Policy and, where applicable to client data, under a Data Processing Addendum (DPA) upon request.
Third‑Party Services
We may integrate or rely on third‑party platforms and providers. We are not responsible for their availability, performance, or terms. Your use of them is governed by their policies.
Warranties & Disclaimers
- We warrant we will perform the Services with reasonable skill and care.
- You warrant that materials you provide do not infringe rights or laws and that you have authority to grant required access.
- SEO is influenced by many external factors (algorithms, competition, platform changes). We do not guarantee specific rankings, traffic, conversions, or revenue.
- Except as expressly stated, the Site/Services are provided “as is” and “as available,” without warranties of fitness for a particular purpose or non‑infringement.
Limitation of Liability
To the maximum extent permitted by law:
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages (including lost profits or data).
- Each party’s total aggregate liability arising out of or relating to the Services/Site is limited to the fees you paid to us for the Services giving rise to the claim in the 12 months before the event.
Indemnification
You will indemnify and hold BOOST SEO harmless from claims, damages, liabilities, costs, and expenses arising from: (a) your materials or instructions; (b) your breach of these Terms/SOW; or (c) your violation of law or third‑party rights.
Term & Termination
- These Terms apply while you use the Site and throughout any SOW term.
- Either party may terminate an SOW for material breach if not cured within 10 days of written notice, or for convenience as stated in the SOW.
- Upon termination, you will pay for all work performed and committed costs through the effective termination date. We’ll deliver in‑progress materials as is, and each party will return or destroy the other’s confidential information, subject to legal retention obligations.
Governing Law & Disputes
These Terms and any SOW are governed by the laws of the jurisdiction where BOOST SEO is established, without regard to conflict‑of‑law rules. The courts in that location will have exclusive jurisdiction, and the parties consent to personal jurisdiction and venue there. Each party may seek injunctive relief in any court of competent jurisdiction.
Changes to the Terms
We may update these Terms from time to time. We will post the updated version with an effective date. Your continued use of the Site/Services after changes means you accept the revised Terms.
Miscellaneous
- Assignment: You may not assign these Terms/SOW without our written consent. We may assign to an affiliate or in connection with a merger or sale.
- Independent Contractors: The parties are independent contractors.
- Notices: Send legal notices to support@boostseo.live.
- Severability & Waiver: If a provision is unenforceable, the rest remains in effect. Failure to enforce is not a waiver.
- Entire Agreement: These Terms plus the applicable SOW constitute the entire agreement and supersede prior discussions on the same subject.
